Acceptance of Terms
By using this website or engaging Lawssolute's services, you agree to these Terms of Service, our Disclaimer and Privacy Policy. If you do not agree, please do not use this website or engage our services.
Engagement of Services
All service engagements require a formal Engagement Letter specifying scope, fees, timelines and deliverables — signed by both parties. Verbal agreements and email do not constitute a binding engagement unless confirmed in a signed letter.
Professional Fees
All fees are exclusive of GST at 18% (or applicable rate) and government filing fees, stamp duty and out-of-pocket expenses billed at cost. Fees quoted in the Engagement Letter are binding. Fees once paid for commenced work are non-refundable unless expressly agreed otherwise.
Client Obligations
You agree to: (a) provide accurate and timely information; (b) respond promptly to queries; (c) ensure all information provided is true and not misleading; (d) obtain necessary internal approvals (board resolutions, shareholder approvals) for regulatory filings. Lawssolute is not liable for delays caused by inaccurate or incomplete information from clients.
Intellectual Property
Templates, precedents, methodologies and work product created by Lawssolute remain our intellectual property unless expressly transferred in writing. You may use deliverables for the specific purpose for which they were created.
Limitation of Liability
Lawssolute's aggregate liability for any claim shall not exceed the professional fees paid for that specific engagement. We are not liable for indirect, consequential or punitive damages, or for penalties arising from external factors beyond our control.
Termination
Either party may terminate with 14 days written notice. You are liable for fees for work completed to termination date. Lawssolute may terminate immediately if you provide false information, fail to pay fees, or request any unlawful act.
Governing Law & Dispute Resolution
Governed by Indian law. Disputes are first attempted through good-faith negotiation. Unresolved disputes shall be subject to arbitration under the Arbitration and Conciliation Act 1996, single arbitrator, seat at Jalgaon, Maharashtra. Courts at Jalgaon have exclusive jurisdiction.
Amendments
These Terms may be updated at any time. Continued use of our services constitutes acceptance. Material changes communicated via email to existing clients.
